Terms of Service

NineteenTwentys is a DPIIT-recognized startup registered under Startup India. These terms govern our service agreements.
1. Agreement to Terms
By engaging NineteenTwentys for services, you agree to be bound by these Terms of Service and any additional terms specified in individual project agreements. These terms constitute a legally binding agreement under the Indian Contract Act, 1872.
2. Services
NineteenTwentys provides marketing and branding services including: brand strategy and positioning, visual identity systems, digital experience design, content infrastructure, performance creative, and brand operations consulting. Specific deliverables, timelines, and fees are defined in individual Statements of Work (SOW).
3. Client Responsibilities
Clients agree to:
- •Provide accurate, complete information necessary for project execution
- •Deliver feedback within agreed timelines (typically 5 business days)
- •Make payments according to the agreed schedule
- •Ensure legal rights to all materials provided for our use
- •Designate a primary point of contact with decision-making authority
4. Intellectual Property
Upon receipt of full payment, clients receive ownership of final deliverables as specified in the SOW. NineteenTwentys retains ownership of: (a) preliminary concepts and unused work, (b) proprietary methodologies and frameworks including COREX™, (c) general skills and knowledge. We retain the right to showcase completed work in portfolios and case studies unless explicitly prohibited in writing.
5. Payment Terms
Standard payment terms: 50% advance, 50% upon completion (variations specified in SOW). Invoices are due within 15 days of issuance. Late payments accrue interest at 1.5% per month. Continued non-payment (30+ days) may result in project suspension and recovery proceedings. All fees are exclusive of applicable taxes (GST as per Indian law).
6. Confidentiality
Both parties agree to maintain confidentiality of proprietary business information, strategies, and non-public data shared during the engagement. This obligation survives termination for a period of three (3) years. Exceptions apply for information that becomes publicly available or is required by law to be disclosed.
7. Limitation of Liability
NineteenTwentys' liability is limited to the fees paid for the specific services giving rise to the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits or business opportunities. This limitation applies to the fullest extent permitted by applicable Indian law.
8. Termination
Either party may terminate with 30 days written notice. Upon termination, client pays for work completed to date. NineteenTwentys may terminate immediately for non-payment (30+ days overdue) or material breach. Post-termination, both parties retain rights as specified in IP and Confidentiality sections.
9. Governing Law & Disputes
These terms are governed by the laws of India. Any disputes shall first be attempted to be resolved through good-faith negotiation. Unresolved disputes shall be subject to arbitration under the Arbitration and Conciliation Act, 1996, with proceedings in [City], India.
